Default SONY & The Michael Jackson Estate in Control of EMI

The purchase from Mubadala Investment Company — which is pending regulatory approval before it can close — brings the Japanese conglomerate’s total share up to 90 percent.
Sony Corporation has signed a deal to acquire a 60 percent share in EMI Music Publishing from a consortium led by the Mubadala Investment Company. It increases Sony’s stake in the company to 90 percent overall, in a deal that carried a $4.75 billion valuation.

It appears the Michael Jackson Estate still owns the remaining 10 percent of EMI Music Publishing.

With both parties signing a “legally binding” memorandum of understanding for the acquisition — which is pending regulatory approval and other conditions before it can close — the arrangement will give Sony publishing assets that generated about $1.334 billion in revenue last year, Billboard estimates.

“We are thrilled to bring EMI Music Publishing into the Sony family and maintain our number one position in the music publishing industry,” Sony Corp. president and CEO Kenichiro Yoshida said Monday in a statement. “The music business has enjoyed a resurgence over the past couple of years, driven largely by the rise of paid subscription-based streaming services. In the entertainment space, we are focusing on building a strong IP portfolio, and I believe this acquisition will be a particularly significant milestone for our long-term growth.”

EMI Music Publishing generated adjusted earnings before interest, taxes, depreciation and amortization of $249 million on revenues of $663 million in the fiscal year ended March 31.

According to the announcement, Sony will assume EMI Music Publishing’s debt, which totaled $1.359 billion as of March 31, and expects to pay $2.3 billion, which totals $3.659 billion. If the Jackson estate still owns its nearly 10 percent stake, which the deal appears to value at $475 million, that leaves another $660 million is unaccounted for — which could be additional debt.

EMI Music Publishing owns or administers over 2 million songs that include classics by Queen, Carole King and the Motown catalog, along with contemporary songs from Kanye West, Alicia Keys, Drake, Sam Smith, Pink, Pharrell Williams, Calvin Harris, Fetty Wap, Hozier and more, according to Sony.

“EMI Music Publishing represents one of the world’s largest and most diverse catalog of copyrights with iconic songs that span every decade over the last one hundred years,” said Mubadala Capital head of private equity and EMI Music Publishing chairman Adib Mattar. “The sale of our consortium’s interest in EMI Music Publishing represents a milestone for Mubadala and our private equity business.”

As Johnn Branca is a consultant on the SONY board, it is now clear that SONY will now control all assets from EMI, and of course SONY/ATV. Michael Jackson’s own catalogue is still under the control of the Michael Jackson Estate (still signed at SONY)

LOS ANGELES, May 23, 2018 /PRNewswire/ -- We want consumers to know that The Last Days of Michael Jackson, a television special airing on ABC TV (a subsidiary of The Walt Disney Company) tomorrow May 24, is not sponsored or approved by the Estate of Michael Jackson. It is particularly disheartening that Disney, a company known to strongly believe in protecting its own IP rights, would choose to ignore these rights belonging to the Estate.

ABC was using a copyrighted photo and silhouette image owned by the Estate in the trailers and promotional material for the special. Only after notice from our attorneys to ABC News indicating they were infringing on our IP rights were the materials removed. We are told ABC intends to use music and other intellectual property owned by the Estate such as photos, logos, artwork, and more in the program itself, without having licensed the rights to any such material. Imagine if this was done with any of ABC's intellectual property. We believe the special to be another crass and unauthorized attempt to exploit the life, music and image of Michael Jackson without respect for Michael's legacy, intellectual property rights or his children.

They best do something more than having a select few in Vegas be able to celebrate. There are fans all over the world who aren't privileged enough to make it to Vegas, myself included.

MJ was all about getting all the fans involved. If the Estate wants to follow 'Michael's desire', do the same.

This is about charitable works, to celebrate Michael's Diamond birthday year - by doing something close to his heart and that is helping people (particularly children) in need. As Michael's daughter Paris is a youth ambassador and spokesperson for the Elizabeth Taylor Aids Foundation, this is a perfect marriage of opportunity, personalities and real financial support.

I don't think it's appropriate to be moaning about fan celebrations.
There will be plenty of those and they are completely separate to this.

The statement from the Estate reads:

For this year’s very special Diamond Birthday Celebration in Las Vegas, the Estate has decided to honor Michael’s well known desire to help disadvantaged people around the world, especially children, by welcoming The Elizabeth Taylor AIDS Foundation to the event. We will join forces to support the work of GAIA Elizabeth Taylor Mobile Health Clinics which brings accessible and free health care to those living in rural Malawi.

There's nothing wrong with this, it's obviously a good thing they're doing but it would be nice to do something all fans can get involved with too.

Michael Jackson Musical Coming to Broadway in 2020:

The Michael Jackson estate and Columbia Live Stage are developing a new stage musical inspired by the life of the beloved pop star. The as-yet untitled show is expected to arrive on Broadway in 2020.

Playwright Lynn Nottage will pen the book, while Christopher Wheeldon will direct and choreograph the show. The score will comprise hits from across Jackson's massive catalogue. Nottage has won the Pulitzer Prize for Drama twice, first in 2009 for Ruined – a play about women in war-torn Congo – and more recently in 2017 for Sweat, which is about residents in Reading, Pennsylvania, one of the poorest cities in America.

Wheeldon is an acclaimed choreographer and director best known for adapting the 1951 film An American in Paris into a Broadway musical. The show won several Tony Awards, with Wheeldon picking up the trophy for Best Choreography. The Broadway musical marks a new type of stage venture for the Jackson estate, which previously sanctioned two Cirque du Soleil shows, Michael Jackson: The Immortal World Tour and Michael Jackson: One. Other projects the estate has produced in recent years include the 2017 compilation Scream, a 3-D rendering of the famed "Thriller" video and two posthumous albums, Michael and Xscape.

This is very exciting! Here are some more details. There is a separate thread dedicated specifically to this topic alone, also.

    Thank you Paris78!!

The currently untitled musical will feature a book by two-time Pulitzer winner Lynn Nottage (Sweat) and a score made up of Jackson's song catalogue. Tony winner Christopher Wheeldon (An American in Paris) will direct and choreograph.

Sony Completes Acquisition of Michael Jackson Estate's Share of EMI Music Publishing

In announcing its financial results, the Sony Corp. revealed that it had acquired Michael Jackson’s estate share of EMI Music Publishing, paying it a total of $287.5 million.

That was apparently the first step in completing its pending acquisition of EMI Music Publishing from a consortium of investors, which still has to be vetted by governmental regulatory agencies before the deal can proceed. Sony is still in the process of filing the paper work for the proposed acquisition, according to sources, so the process of scrutinizing the deals impact on potential anti-trust issues has yet to begin, they say.

As it is, Sony has agreed to pay $2.3 billion to acquire EMI, as well as assume EMI’s debt of $1.359 billion. With Sony and Jackson’s share valued at $1.091 billion that gives EMI Music Publishing a valuation of $4.75 billion.
The Jackson estate held a 9.84% interest in EMI; or a 25.1% stake of the piece owned by Sony and the Jackson estate, which means that without putting up any money in the deal, by virtue of its stake in Sony/ATV, the Jackson estate received $287.5 million, not a bad return on a zero dollar investment.

Prior to this deal and before EMI Music Publishing came up for sale, the Jackson estate had sold its 50 percent share of Sony/ATV in 2016 and received $750 million in cash, which means that the Jackson estate has made over $1 billion since it has unwound its interest in those publishing assets.

While the Jackson estate, advised by Shot Tower Capitol, is overseen by two co-executors -- music industry executive John McClain and lawyer John Branca -- it is the latter, a partner in the law firm of Ziffren Brittenham LLP, who likely gets credit for making the shrewd publishing deals on behalf of the estate.

When Sony completes its acquisition -- if it gets the regulatory approval that is; the buyout of the Jackson estate didn't require it but the buyout of the other 60 percent does -- EMI Music Publishing will become a wholly owned subsidiary of Sony Corp, and will likely be legally merged into Sony/ATV, as it functionally already is.

Michael Jackson Estate & Sony Music to Celebrate King of Pop's 60th Birthday With Las Vegas Fete: Exclusive

Michael Jackson performs in concert circa 1986

The iconic musician's children and brothers are expected to take part.

Michael Jackson would have turned 60 on Aug. 29. Though he is no longer here, his extraordinary life and legacy will be heralded at the Michael Jackson Diamond Birthday Celebration in Las Vegas.

Coordinated by the Estate of Michael Jackson and Sony Music, the festivities will kick off with an early evening performance of Michael Jackson One by Cirque du Soleil, followed by an exclusive after-party at Daylight Beach Club, both at Mandalay Bay. Fans are expected to flock to Las Vegas from all over the world for the festivities.

Jackson, who died in 2009, will be well represented by his family at the event, with children Paris and Prince expected to attend, as well as brothers Jackie, Marlon and Tito.

The Daylight Beach Club party, hosted by Sway Calloway, will include interactive elements including activations inspired by Jackson's music videos. The party is for invited guests only, as well as attendees of that day’s Michael Jackson One performance.

For the event, the Michael Jackson Estate is joining forces with The Elizabeth Taylor AIDS Foundation to bring health care to southern Malawi. Paris Jackson, who is an Ambassador for the Elizabeth Taylor AIDS Foundation, will accept the 2018 Elizabeth Taylor Legacy Award for Humanitarian Service awarded to their father posthumously. Attendees are encouraged to make donations to the Taylor's AIDS Foundation.

The party comes as Jackson’s legacy continues to grow. A previously unreleased Jackson vocal provides the hook for “Don’t Matter to Me,” a song on Drake’s Scorpion album, which is spending its fifth week atop the Billboard 200 albums chart.
Additionally, the National Portrait Gallery in London’s Michael Jackson: On The Wall exhibit runs through Oct. 21, while work continues on a Broadway musical inspired by Jackson’s life produced by the Estate and Columbia Live Stage. Pulitzer Prize-winning playwright Lyn Nottage will author the book, while Christopher Wheeldon will direct and choreograph the musical which is expected to open in 2020.
No word yet on whether Sony plans to release or reissue any Jackson material around the birthday.

God, I thank you for allowing Michael to continue to watch over his children:

Find it very hard to care about this. Props for the charity work.

A Vegas exclusive party and an overpriced box of picture discs. Happy birthday, Mike.
