MONTREAL (Reuters) - Cirque du Soleil and its secured creditors are close to reaching a agreement on a second stalking horse bid for the financially strapped entertainment group, after lenders opposed a deal with shareholders including TPG Capital and Fosun International, a Canadian court heard on Friday.

Canada’s once high-flying Cirque has received protection from creditors as it restructures after the COVID-19 pandemic forced it to cancel shows and lay off artists. The Montreal-based entertainment company filed for bankruptcy in late June.

Details about the rival bid by secured creditors, which sets the low-end bar for buying the company’s remaining assets, were not disclosed by the parties involved in the dial-in hearing on Friday.

Details are expected to be presented in court next week pending approval from the Cirque board.

Lenders had previously dismissed a stalking horse bid from a group of investors, including private equity firm TPG [TPG.UL], and Fosun, a Canadian pension fund and a Quebec government body as inadequate.

The lenders would end up getting a 40% stake in the restructured Cirque, under the TPG consortium’s proposal.

Any stalking horse bid would require court approval.

Cirque had almost $1.5 billion in liabilities as of December 2019.

Cirque du Soleil reaches purchase deal with secured lenders

Cirque du Soleil Entertainment Group said on Thursday it reached a new purchase agreement with its secured lenders, in a move that would help kick-start the bidding process for the financially strapped circus troupe.

The Cirque said in a statement that it entered into a new “stalking horse” purchase agreement with its first-lien and second-lien secured lenders, confirming earlier reports.

The Montreal-based Cirque, which grew from a troupe of street-performers in the 1980s to a company with global reach, has slashed about 95% of its workforce and suspended shows due to the COVID-19 pandemic.

The creditors’ agreement replaces an earlier deal with Cirque shareholders including TPG Capital and Fosun International Ltd (0656.HK) which included debt financing from a Quebec government body..

A court in the Canadian province of Quebec will be asked on Friday to approve the stalking-horse agreement, which is an opening offer that other interested bidders must surpass if they want to buy the company.

The deal allows the creditors to acquire the Cirque’s assets while largely cutting down the company debt, the statement said. Cirque has $1.1 billion (876.5 million pounds) in debt across first-lien and second-lien creditors.

The agreement sets aside $20 million for affected employees and keeps the company’s head office in Quebec, the statement said. Quebec Economy Minister Pierre Fitzgibbon said the new agreement does not include financial support from his government.

“Obviously if someone is going to be the ultimate owner of the Cirque and wants to maintain the head office in Quebec and deleverage, it’s music to my ears,” he told Reuters in an interview.

Earlier in the day, Catalyst Capital Group, which led the secured lenders, said the entertainment company had accepted its “stalking horse bid” for the assets.

The deal will inject up to $375 million into Cirque, a source familiar with the matter said.

..............The coronavirus pandemic is the biggest threat to face Cirque du Soleil, which was created in the early 1980s as “The Stiltwalkers of Baie-Saint-Paul” in Quebec, before becoming a global entertainment company thanks to sold out Las Vegas shows, touring productions and acquisitions.

The shows, which have no animals or star performers, helped some key troupe members become wealthy. Guy Laliberté, a performer and co-founder of the company, is on Forbes list of Canadian billionaires.

While Cirque sees a potential reopening in the fall for its resident productions in Las Vegas and Orlando, Lamarre only expects the company to get back to where it was in terms of the number of shows, revenues and profits in 2023.

“We think that it will take a year to 18 months before we’re back to normality which means having a vaccine or a cure that makes people feel safe in a theater. And then from there we think that within a couple of years we’ll be able to bring back the company where it was.”

The Cirque is seeing some green shoots of recovery with the reopening of the Chinese production last month, and another show opening in early July in Mexico.

Proximity & Montraa, Led by Former Senior Director of Cirque du Soleil, Announce New Series of Global Dance Shows

The world of dance music has always erred toward the fantastical, and now, a new online show series is turning up the dials on whimsy and innovation even higher.

On Wednesday (July 29), online dance music platform Proximity is announcing a partnership with Montraa, the new company from Omar Zabian, the former Cirque du Soleil Director of Global Events and Sr. Director Strategic Development and Partnership.

Together, the companies will produce and stream shows from a variety of A-list dance artists performing at various wonders of the world. Called One, these shows will focus on storytelling, music, dance and exotic locations. Viewers can expect the big sounds and big production inspired by the global phenomenon that is Cirque du Soleil.

"[The events] will showcase diversity, culture, and unity across the unique international sites that we film at," Proximity Founder Blake Coppelson tells Billboard.

Artists and sites will be announced in the coming months, with the events to stream on Proximity in Q4 of 2020 and Q1 of 2021.....Shows will be performed in conjunction with new album releases from each producer.

Yesterday, Cirque du Soleil has announced in a statement that “Zumanity” will be definitely closed after 17 years running at New-York New-York hotel and resorts in Las Vegas.

But in the statement, Cirque also confirmed that few shows have been now extended and that includes Michael Jackson ONE at the Mandalay Bay Resort.

“Cirque du Soleil and MGM Resorts International have solidified their commitment to the partnership and the four shows remaining in the Cirque du Soleil portfolio. Contract extensions for “O” at Bellagio, The Beatles LOVE at The Mirage, KÀ at MGM Grand and Michael Jackson ONE at Mandalay Bay have been signed. This means that MJ ONE will stay longer at Mandalay Bay. However the re-opening is still unsure due to COVID-19.

Almost seven years ago, I had traveled to Las Vegas. A few days before the release of Xscape,I had taken the opportunity to attend the oneshow, directed by Cirque du Soleil.

This was the opportunity to write a magazine for issue 2.8 of MJBackstagemagazine. I finally decided to add it to the site, so that these lines are immortalized in my digital fiefdom.

It is strange to reread after so many years but that is how I lived the experience.

Good reading to all.

Everyone knows the famous saying that travel is a form of youth. Until now I had not really been able to verify it since I had never left Europe. Things have changed a bit in recent weeks with a Flight from Paris to Las Vegas that completely changed my scene. Not that I wanted to set my sights on casinos and their slot machines. There was no need to get to this point because Cirque du Soleil's ONE experience in the game city is enough to transport you into a whirlwind of emotions and thrills. You may go to an artificial paradise where money is king, but you will paradoxically find yourself in a place of recollection where the soul and the universe of Michael Jackson take you away from all those material and superficial objects specific to this world of the game. This may seem abstract to you, but I will try to clarify it for you.

At the time of landing, after about ten hours of flight, one could legitimately think first of his hotel to put his luggage. Know that this is not the case because, from my window, I already have a stunning view of the Mandalay Bay Hotel, with great pomp, the poster and the name of the illustrious guest to whom we pay tribute here every night since May 2013. One way to remind me that this first stay on American soil is (and will remain) sentimentally related to him. This time, I'm the one who's taking a step towards Michael when, for more than 25 years, it's always been in the opposite direction. A disturbing, bewitching and hard-to-explain feeling to a non-fan. But here I feel in good territory to share this adventure and these emotions new to me.

Thus, at this very moment, I may have a reproduction of the Statue of Liberty and the Eiffel Tower, like a kind of "Black Or White" decoration on a human scale, since my plane, it is to the Mandalay Bay that all my attention is focused, as if my trip was in fact a pilgrimage. I have to assume it, I no longer hold up and the day after my arrival, I take my ticket to ONE.

Upon entering the glitzy Mandalay Bay hotel-casino, I have the reflex to immediately look for the way to the Cirque du Soleil showroom. All the rhinestones and glitter of the place have no effect on me. I just take a brief look at the slot machines that only confirm this feeling: the main thing is not there because it is Michael's timeless music that materializes in my unconscious like never before. I finally arrive at my destination and discover the ONE shop, after observing all the objects that decorate the corridor. In a shop window, I discover his loafers and sequined socks, as well as the jacket he wore at the American Music Awards in 1984. Several shots (from the 1995 MTV Music Video Awards) that are approaching three meters high, are displayed just in front of the store entrance.

Numerous documents, including MJ's notes to organize his 30-year career at Madison Square Garden in 2001, confirm my impressions: everything here fully pays tribute to my idol. The desire for a museum dedicated to the King of Pop has often been mentioned, and I am not far from thinking that I am there at that moment. Before the show starts, I still have a little tour to do at the shop. Despite the many temptations, I finally don't buy anything. It is true that the essential is not there since it is my spirit that I feed deeply in this pilgrimage that I did not suspect at the time of packing.

What about the show? Judicious question, because all my impressions must be confirmed by a show equal to the genius of Michael Jackson. The doors open and I'm finally ready to enter the enclosure, at last almost... I discover the entrance hall and examine a tapestry covered with the many titles of his discography, as if to better immerse myself in his universe. There are also some silhouettes from various eras, well known to fans, on a red background. The décor is truly sumptuous, like a worthy aperitif of the biggest events. I feel privileged to be there, as if crossing the Atlantic now makes sense. Time stops... But I have to pull myself together because I have to win my seat. The room is not so big and therefore offers this intimate side so rarely present in the musical universe of MJ. The giant central screen reveals images of a hat, a glove, moccasins, a pair of Ray-bans and a stool. These objects "fly" as if to better show all the magic they represent. Michael paid tribute to the world of "Billie Jean" during the HIStory Tour and the result is this timeless and eternal atmosphere developed by ONE. It seems that Cirque du Soleil has really understood all the artistic subtlety of Michael Jackson...

The giant side screens are lighter in tone, as if to better measure the ingredients of this complex recipe. The front-rowers gather as soon as they enter the front page of the tabloids, recalling the music video for "Leave Me Alone". They are machine-gunned by paparazzi with the look of private detectives, while in the background we hear the song "Privacy". The latter is far from my favorite, but I still start to kick, captivated by the sound quality. This is one of the positives of this show and it is felt before it really starts.

I admit I was wondering if I would enjoy ONE. I loved Immortal because I had been able to see and hear live a group of virtuosos including Greg Phillinganes and Jonathan Moffett. This time it is a show essentially in play-back and this detail could have played against him. However, from the first notes, I understood that One had its own identity, with different mixes from the playlist ofImmortal. Apart from a few brief identical passages. Cirque du Soleil has managed to reshape the ensemble, drawing inspiration from the best of Immortal to perfect it and offer this new show. The sound quality of the room exceeds anything I had heard before in my life, to the point of rediscovering "Speechless", whose mix on Invincible can not bear the comparison. It is also impossible not to appreciate the choreography and acrobatics that are moving at such a crazy speed that you don't see all the subtleties. One's strength is to satisfy our ears, eyes, feet and heart. On this subject, special mention to this version of "Stranger In Moscow": I did not think I would be so moved without the presence of Michael Jackson. The troupe really feels the soul of the King's songs and offers us all the flavor of his universe. I don't want to reveal the content of the show, but I can't keep this performance quiet. The set-list is quite complete, knowing how to please the general public with the classics and fans with other less popular titles.

The presence of the hologram at the end of the show was not for me the highlight of the evening. I had felt Michael Jackson's soul throughout the show and his music was much more powerful than that technical effect. It is true that I heard his voice echoing in the loudspeaker of my seat, at the level of my ears, as if he were singing for me, as if we were bathing in a moment that belonged only to us. A voice, his own, inimitable... So pure and so far from all the artifices, forever... As ONE ends and I leave the room, my mind stays in the stars... I have this wish that this moment will never end.

Return of the show based on the career of the king of pop music is scheduled for the 3rd quarter of 2021

After more than a year of hiatus, Cirque du Soleil is ready to restart the machine. The company announced Wednesday (21) that it will return to Las Vegas at the end of June to present two shows at full capacity.

After months of uncertainty, postponements and layoffs, Cirque announced in which it will reopen Mystère on June 28 and O, July 1. These will be the company's first productions to resume operations in Las Vegas since the company "temporarily" suspended its resident shows on March 15, 2020.

"It's two iconic shows,"said Daniel Lamarre. ''For us, it's symbolic that our first two original shows [in Las Vegas] are the first to reopen. By the end of June, nearly 80% of The Las Vegas population will have been vaccinated, including all MGM employees and all circus employees,"he explained.

If all goes well with these two productions, Cirque plans to reopen its other shows in Vegas in sequence: The Beatles Love (August), Michael Jackson One (September) and Kà (October). The dates have not yet been confirmed, however.

What does a Cirque du Soleil trampoline artist sidelined for 17 months do when called back to work?
He jumps right in.

“Training, obviously, has been my main goal,” Cirque “Michael Jackson One” artist Greg Pennes says through a black face cover during a break in rehearsals. “It’s definitely new for us, dealing with health and safety issues, but once you jump in …”
And you see the smile, even behind the black.
“MJ One,” off for 17 months, is back Thursday at Mandalay Bay. Pennes, born in Paris and an Olympic trampoline qualifier in the 2008 and 2012 games, has been with the show for about six years.

“It’s been amazingly great,” Pennes says of bouncing back to action. “The body remembers. It’s pretty incredible.”
The show that premiered later was a dance through JacksonÂ’s classics dating to his days with the Jackson 5, with one clear exception. The entire cast wore black medical masks throughout the show. Only vocalists performed without the covers.

Cirque adjusted its in-house policy for performers when the state called for masks to be required for everyone indoors, regardless of vaccination status. Cirque had previously allowed artists to perform without masks if they had been vaccinated.
The masking of every acrobat and dancer in the troupe made Thursday’s relaunch even more impressive. The cast raced through such Jackson hits as “Beat It,” “Wanna Be Startin’ Somethin’,” “Billie Jean” and “Thriller” — with zombie characters hanging above the crowd in aerial harnesses. The famous lean in ‘Smooth Criminal” was also flawless. The performers never showed ill effects from wearing covers over their faces.

During the run-up to the show, in early friends-and-family rehearsals, ushers have actually offered earplugs to those entering the performance. Thus, “MJ One” is the rare (and to our knowledge, only) Strip production to have audience members’ faces and ears covered.
The show is the third Cirque show to return to the Strip, following “Mystere” at Treasure Island and “O” at Bellagio. The Beatles’ “Love” at the Mirage opens Aug. 26. “Ka” is still unannounced, though the company reps have indicated it will not open before November.

“We are operating in an environment that was created when we were down,” Cirque Senior Artistic Director Kati Renaud says. “You approach this creatively, and asking, ‘How different can we do this?’”

Makeup application for masked performers has been adjusted, of course. That process takes about an hour per performer, with the artists moving in and out of the space in shifts to maintain distance.
But the show has, by early accounts, enlivened its audiences. Yes, they are already Cirque-anointed, but the performers can feel real passion from the stage.

“The first time back, I got goosebumps,” Pennes says. “It was so much different than performing for empty seats. It was emotional, it was magical.”

Afterward, Cirque CEO Daniel Lamarre met the cast and congratulated the company on returning to form. He wore the cover of course, but there was no masking his happiness.

Saw the show when I was in Vegas last month, it was great - even having seen the Man In The Mirror effect on YouTube it was still very emotional to see in purpose. I fell in love with one of the dancers, Jennaia Roussel, but can't find her online anywhere :cry:
 
They sell a replica Bad Tour staff jacket - I need to get my hands on this!!
