Sony/ATV forms exclusive JV with Sony Music for India foray

[/FONT]Mumbai: Sony/ATV Music Publishing Llc, a music publishing firm formed by Sony Music Global and the family trust of Michael Jackson has formed a strategic joint venture with Sony Music Entertainment India Pvt. Ltd., marking its India entry.

In a media statement issued on Monday, Shridhar Subramaniam, president - Sony India & Middle East said through this joint venture Sony Music Entertainment will represent Sony/ATV’s 750,000 plus global music assets in India and Sony/ATV will represent Sony Music’s musical works internationally.

On Monday, Mint had reported that Sony/ATV music is making India entry through a strategic alliance with Sony Music.

The statement said the joint venture company will ensure proper and timely monitoring, tracking, collection and payment for the use of music they own and manage. As part of its monitoring mechanism, the joint venture company will also ensure corrective as well as punitive action against those using its music without necessary license through collaborative efforts with local law-keeping authorities, it added.

Ashish Pherwani, senior manager, Ernst & Young Pvt Ltd said that the Indian music industry is set to witness huge growth, shifting from physical forms of music *CD’s etc) to digital music. “Technology & 3G- 4G will only aid that” said Pherwani adding that it seemed like a mutually beneficial deal for both Sony/ATV and Sony Music India.

He said that as Indian audiences see change in lifestyle, technology etc, they will experiment with more of international music. International music is a small but growing segment, said Pherwani.

“We have all heard the bad news “piracy/illegal downloads affecting music companies but I wouldn’t write off the industry just yet,” he said.

Navin Shah joint managing director of EMC Solutions Worldwide , a branded entertainment solutions firm, said that in India, “ 95% of the music was local and Bollywood music, which is why Sony/ATV will find it challenging to find audiences for international music.” But with rapid urbanization happening, international music is becoming bigger.

The tie up will bring best practices from international markets into India. For instance, there “ no reason why it should be restricted to music” it could be merchandising, concerts etc. For instance Universal in UK is known as a brand solutions company. It isn’t just a music company, he said.

Sony splashed out 2.2 billion dollars for EMI's publishing division.

Universal Music Group and Sony Corp. have reached agreements with Citigroup Inc. to buy EMI Group's music business for a combined $4.1 billion, an 8% premium over Citigroup's initial minimum asking price.


The dual transaction would split London-based EMI in two, with the company's recorded music going to Universal for approximately $1.9 billion and the publishing division sold to Sony for $2.2 billion, the companies announced Friday morning. Citigroup in October had asked for a minimum of $1.9 billion for the recorded music business and $2.5 billion for EMI's smaller but more profitable publishing business.

Sony is considered an investor and partial owner in the deal, but will manage the business under its Sony ATV publishing business, which owns or administers the publishing rights to 750,000 songs, including the Beatles catalog.

EMI's back catalogue, which includes such classics as Singing in the Rain and Over the Rainbow will bolster Sony ATV, which is co-owned by the Michael Jackson Family Trust and which holds the rights to the songs of the Beatles, Elvis Presley, Eminem and Bob Dylan.

The deal still must be approved by European and US regulators.

The trademark "MJ" (the History version) was removed from the trademark register in Germany on October 11, 2011. This means the situation in Germany got remedied (it had been bought by a different company since the company Dieter Wiesner was running for Michael in Germany had gone insolvent). I checked and indeed the German trademark law (§3) states that trademarks can be deleted if they could serve to cheat people into buying goods that are not what they say they are - any product branded as "MJ" (History version) would have qualified for this, easily. The trademark was removed at the request of its current owner, however, a third party had filed a request to remove earlier in 2011. I believe the owner realized (or was made to realize) that the trademark was virtually worthless - because of §3. - I am thankful for the German trademark law to include paragraph 3 among its provisions. -BX

Warner's Bronfman vows to 'fight' EMI sale to Universal and Sony

Edgar Bronfman Jr., Warner Music Group's former chief executive and outgoing chairman, said his company would oppose the sale of EMI Group to Warner's two biggest rivals, saying the deals would reduce competition.

Bronfman himself had vied to buy EMI's recorded music business last year, but was outbid by Universal Music Group's $1.9-billion cash offer. EMI at the same time also agreed to sell its music publishing operation for $2.2 billion to a consortium of investors led by Sony ATV, a division of Sony Corp.

In a parting shot, Bronfman on Tuesday, his last day as chairman of Warner, told an audience at a media conference in Dana Point that EMI's sale was "dangerous" because the concentration of market share would stifle innovation and reduce payments to musicians they represent. Bronfman said Warner would "fight tooth and nail" to convince antitrust regulators to stop the deals.

A Warner spokesman confirmed Bronfman's comments, made at the D: Dive Into Media conference hosted by the Wall Street Journal, but declined to elaborate on how the company will work to thwart the sale of EMI. Sony also declined to comment on Bronfman's remarks, and messages to Universal were not immediately returned.

The deal, which would reduce the number of major record labels from four to three and the number of big publishing companies from five to four, is currently wending its way through regulatory scrutiny in both Europe and the U.S.

Regulators so far have not raised any antitrust concerns, but aren't expected to make a determination for at least several more months.

Bronfman also took a swipe at Google Music, calling the digital music store an "oxymoron." Warner is the only major label to abstain from selling its music on Google's online store, launched in November. It's unclear how he felt Google's efforts into music were contradictory, but Bronfman followed up his comment by suggesting that the Silicon Valley search giant places more value on the platform delivering content more than the content itself.

Beatles musical planned for 50th year of debut song

LONDON, March 30 (Reuters) - A London musical will mark the 50th anniversary of the Beatles' debut single "Love Me Do", released in Britain in October 1962, after full theatrical rights to much of the Fab Four's back catalogue were granted to a West End production for the first time.

"Let It Be" will run at the Prince of Wales Theatre from Sept. 14 until Jan. 19, 2013, and feature live performances of a string of hits including "Twist and Shout", "Yesterday" and "Hey Jude".

Described by organisers as a "theatrical concert", the show will combine live performances with video footage to tell the story of the Beatles' journey to become the most successful pop group in history.

The rights to the music were granted by Sony/ATV, the music publishing joint venture between Sony Corp and the estate of Michael Jackson.

Sony-Led Group Wins EU Approval to Buy EMI Unit

A Sony Corp.-led group won EuropeanUnion approval for its $2.2 billion purchase of EMI Group’smusic publishing unit after it agreed to sell rights to chart hits by Robbie Williams and Ozzy Osbourne.

The European Commission approved the deal after the Sonygroup offered to sell the global rights to EMI’s Virgin catalogsand Sony/ATV Music Publishing’s Famous U.K. portfolio, theregulator said in an e-mailed statement.

Sony and Mubadala Development Co. “have offered to divestvaluable and attractive catalogs containing bestselling titlesas well as works of successful and promising authors,” said EUCompetition Commissioner Joaquin Almunia in the statement. “Iam therefore satisfied that the competitive dynamics in theonline music publishing business will be maintained.”

Wow, that means Michael owns 87.5% of Neverland and not 50% as many speculated. Cool, that means there is chance for it to be restored when the children grows up.

Prince Paris Blanket LLC


A little tidbit: The funds from The Michael Jackson Estate to the children are distributed to a Delaware company, called "PPB LLC" (as "Prince Paris Blanket LLC"). It has been registered on November 4, 2010. Already over 10 million dollars has been moved to the company's account.

Another two entities are registered for the same, or almost the same purpose: PPB II LLC in Delaware (August 15, 2011), and PPB (NV), LLC in Nevada (June 27, 2012).

If I should speculate, I would say that the Estate will not only distribute funds through these companies, but will move MJ's (maybe debt free) entities under these new companies/trusts. The multiple names, especially if registered in different states may refer to that.

The "Michael Jackson Asia Rights Co. Ltd." is still active, and coming up with new "surprises". Like a "Jackson family dinner" held sometime this July with the participation of guess who? Josehp Jackson and Dieter Wiesner. Only 50 people could attend the event, that had a special Neverland dinner amongst others.

Sony/ATV, the music publishing division of Sony Music, has kicked off an auction to sell the rights to more than 30,000 songs from artists ranging from Culture Club to Iggy Pop contained in the Virgin Music and Famous UK song catalogues, according to sources with direct knowledge of the process.

These sources said non-disclosure agreements were sent out last week to more than 20 potential buyers, including Warner Music Group, Primary Wave Music, Round Hill Music, Imagem Music, Kohlberg Kravis & Roberts & Co LP, Platinum Equity Partners, Thomas H. Lee Partners and others.

The signing of non-disclosure agreements is typically required at the start of an auction process as a condition of receiving books with detailed financial data about the company being auctioned.
While a first-round bid deadline has not yet been set, the sources said they expect a deal to be valued at around $150 million (R1.24 billion).

The sale of the Virgin Music and Famous UK catalogues were among the concessions required by regulators in order for Sony/ATV to receive approval for its $2.2 billion (R18.17bn) acquisition of EMI Music Publishing. John Branca, a partner at law firm Ziffren Brittenham who has represented Michael Jackson, Aerosmith, The Rolling Stones, and others, is running the auction on behalf of Sony/ATV.

All parties mentioned above either declined comment or could not be reached for comment.

Combined, the two catalogues control the rights to more than 30,000 songs, the bulk of which are from artists who rose to prominence during the 1980s and 1990s. Included in the catalogues are rights to songs from the Culture Club, Lenny Kravitz, Goo-Goo Dolls, Iggy Pop, Tears for Fears, Fine Young Cannibals, and many others.

Music publishing catalogues can range in size from a few dozen songs to a few million. For instance, Round Hill on Tuesday acquired Arthouse Entertainment, which controlled the rights to just 150 songs from artists including Katy Perry and Cee Lo Green. By contrast, Sony/ATV, which is a joint venture of Sony Music and the estate of Michael Jackson, ranks as the record industry's largest music publishing house with the rights to more than 2 million songs.

While record labels have struggled with declining CDs sales as a result of piracy and a shift to digital distribution, music publishing companies have gained in value because they collect revenue every time a song is played in any format since they control the underlying rights to the composition.

All of the major record labels - Universal Music Group, Warner Music Group, and Sony Music - have publishing divisions, and a slew of independent companies such as Spirit Music Group and Primary Wave Music have cropped up in recent years to acquire the rights to song catalogues.

NEW YORK —August 20, 2012—Sony/ATV Music Publishing announced today that the company has entered into a worldwide administration agreement to represent Michael Jackson’s iconic Mijac Music catalog. i was thinking...how was Michael able to put 'ABC' and 'I Want You Back' on his boxset, that i bought, back when he was still in the spotlight, and putting out music, including those fabulous demos...well..here, apparently, is my answer. He had acquired the Motown catalogue, back then. I don't know how else you answer a question so clearly. This was in the midst of lies claiming he was in financial peril. There was never any need for him to tour again. I knew that. The absolute salacious lies the media has never stopped telling. The fact is...he was NEVER EVER EVER EVER in any financial peril. Look at that catalogue....just LOOK at it. He was always either the top publisher in the world, or in the top 3.

I don't think Michael owned publishing rights to 'ABC' and 'I want you back' either. They were not part of his Sony/ATV or Mijack Catalogs. We know EMI publishing bought into Motown publishing in 1997. EMI didn't become part of Sony/ATV until 2011 when Sony and Estate bought out EMI. Just because Michael placed "ABC" or "I want you back" on his box set doesn't necessarily mean he owned the rights to those songs. He most likely paid the publishing rights to use them to the EMI publisher. It may be written on the box set in the credits somewhere. "EMI/Motown Publishing"
 
Motown/Universal and EMI most likely leased them to MJJ for the boxset, the same way, classic songs are used on soundtracks or those hit collections like NOW! or others

How Jerry Seinfeld’s Ex Girlfriend Owns Six Beatles Songs


If this were a Seinfeld episode it would be called “How the Ex Girlfriend Came to Own Six Beatles Songs.” Yes, it seems that through a quirk of history, timing and legal maneuvering six very early Beatles hits are not part of the much vaunted Lennon-McCartney catalog at Sony/ATV Music Publishing. And now they belong, at least for now, to Josh Gruss, husband of ex-Jerry Seinfeld girlfriend Shoshanna Lonstein. Strange, but true.


The songs are “I Saw Her Standing There,” “I Feel Fine,” “I Wanna Be Your Man,” “She Loves You,” “From Me to You,” “Misery,” and “There’s a Place.” The songs were never part of the regular catalog because they were from the Beatles’ early and brief stay on VeeJay Records circa 1962. Last year, surprisingly, the owner of the song sold them for an unknown amount to tiny, new music publisher Round Hill Music.


This is where Shoshanna comes in: her husband, Josh, owns Round Hill. He partnered up with a financier called Adage. For some reason, the songs were not offered to Sony/ATV, or to Paul McCartney or Yoko Ono.


But the latter two may not mind so much. First of all, Round Hill only got the U.S. rights. And second, in 2018, as the songs turn 56, they will being reverting back to Lennon-McCartney under the Copyright Law of 1976. So Shoshanna is just babysitting them, via Round Hill, for the next five years.

Eventually he’ll get back everything Michael Jackson got when he bought the Beatles catalog in 1984. Jackson’s big Beatles part will be over by 2026. The loser could be Sony/ATV Music, unless they can strike a deal with McCartney to continue administering the songs and taking fees.


As for John Lennon: because he died during the term of copyright, his heirs have already been collecting a portion larger than McCartney. That’s thanks to the Songwriters Act of 1927. I’ve been told that the Lennon estate has already worked out a deal to stay with Sony/ATV even after 2018 kicks in. In that case, McCartney will be connected to the company anyway.
