Sony/ATV (Michael Jackson) Ranks 2nd In U.S. Market Share

According to Billboard’s August 15th Publishers Quarterly, Sony/ATV commanded 14.2% of the second-quarter publishing market share, solidifying an impressive second place. In addition, Sony/ATV is extremely proud of its writers Redone, Taylor Swift and Lady Gaga for being named the top three songwriters of the second quarter.

Of the Top 20 Published Songs of the second quarter, Sony/ATV controls Lady Gaga’s Poker Face (2) and Just Dance (19), Beyonce’s Halo (6), Flo Rida’s Right Round (10) and Taylor Swift’s Love Story (15).

THE STORY OF SONY/ATV AND THE BEATLES

In 1963, John Lennon and Paul McCartney, along with then-manager Brian Epstein and famed music publisher Dick James, created Northern Songs Ldt. to house their infamous music catalog.

Under the arrangement, Epstein and James co-owned and administered the Lennon/McCartney copyrights, and in 1965 took the company public. Although Lennon and McCartney each owned a stake in Northern Songs (they each had 15%), James and his partner, Charles Silver, held the majority (37.5%). After Epstein’s passing in 1967, James and Silver sold their controlling shares of the company to Britain’s Associated Television (ATV), which had formed ATV Music Publishing to exploit the copyrights of its own TV-themes and program-related cues.

When James and Silver sold their controlling stake in Northern Songs to ATV in 1969, all control of Lennon & McCartney’s compositions was also transferred to the television-turned-music publishing company. Despite efforts by Lennon and McCartney to retain control of their catalog, they ended up selling their own shares of Northern Songs to ATV.

In 1985, ATV went up for sale and was eventually purchased by Michael Jackson. Jackson held onto ATV until 1995 when he merged the catalog with Sony Music Publishing to form the joint venture, Sony/ATV Music Publishing. Today, Sony/ATV Music Publishing is one of the largest music publishing companies in the world.

9. Phillips "Getting Better" (1998) – Emerging British band breaks because of cover version of “Getting Better” created specifically for Philips Electronics ad campaign. The spot helped the band sell hundreds of thousands of records and to this day Gomez is still active, recording and touring to a solid fan base.

The game not only gives the player a virtual concert experience, but takes them on a journey through music and cultural history. In addition to the groundbreaking videogame, new digital remasters of the entire Beatles catalog are being released. News media accounts that Michael Jackson was "debt-ridden", without providing further explanation, gave the impression that the King of Pop's financial situation was something the general public could identify with or readily understand.

But far from it. Jackson's so-called "massive debt" was something that hardly any of us will ever be fortunate enough to experience. I dare say most in the general public have never heard of Jackson's category of indebtedness, better known by some as "acquisition debt".

The kind of acquisition debt I refer to involves multi-million dollar purchases of ventures where a significant percentage of the purchase price is financed through "leverage" borrowing. The assets of the acquired company are used as collateral for the borrowed capital.

When Northern Songs - a music catalog holding thousands of songs, including the Beatles' back catalog - was put up for sale, Jackson took immediate interest in the catalog. He was warned that he would face strong competition. "I don't care. I want those songs," Jackson said to his entertainment attorney John G Branca. "Get me those songs, Branca."

Jackson eventually beat the rest of the competition in negotiations for the Northern Songs catalog, which lasted 10 months. He eventually purchased the catalog for a whopping $47.5 million.

Jackson used the equity in his own catalog, MIJAC, along with the acquired assets and future income to be derived from Northern Songs, for loan qualification -- with the newly acquired assets structured for equity to flow toward servicing the debt.

In 1995, Jackson merged his Northern Songs catalog with Sony's publishing division creating Sony/ATV Music Publishing. This deal allowed Jackson to retain half ownership in Northern Songs as well as allowed him to gain half ownership in Sony/ATV. The merger also included for Jackson distribution rights to thousands of more songs. With the merger, Sony/ATV became the third largest music publishing venture in the world. Both Jackson and the Sony people were equal partners and vowed to become the world's largest catalog.

Late in 2001, Jackson and Sony acquired Tony Martin's Baby Mae Music catalog of 600 songs.

In July 2002, they bought country music publisher Acuff-Rose for $157 million. The venture included publishing rights to 55,000 songs.

And in November 2007, Jackson and Sony bought Famous Music LLC from Viacom. This deal gave the King of Pop rights to songs by Eminem (a C-rated entertainer who once made light of him), Shakira and Beck, among others. The venture included the assumption of $30 million debt. They purchased the business for $370 million.

Bottom line. Jackson's massive debt of "five hundred million dollars", as reported by traditional media outlets, could only have resulted from acquiring multi-million dollar ventures, and not as media myth makers would have it, "lavish spending."

I agree with mjjfan4ever. . . this article needs to circulate to Business Week, Newsweek, or wherever so that it becomes public knowledge that a majority of Michael's debt comes from 'acquisition debt' instead of lavishing spending, which no doubt comes from the Bashit doc.

The Palace of the Lost City
Developed by Sol Kerzner, the boxer-turned-businessman known locally as the "Sun King," who capitalized on South Africa's stern antigambling laws by situating Sun City in the then homeland of Bophuthatswana, Sun City is unlikely to bowl over anyone who's ever been to Vegas, but it continues to rake in visitors and Bollywood film crews who love its larger than life atmosphere. The resort is relatively easy to get around, with shuttle buses constantly moving from one end to the next. A "sky train" takes visitors without cars from the entrance to the entertainment center. Closest to the entrance are the Kwena Crocodile Sanctuary, Waterworld, and The Cabanas, followed by the tacky Sun City Hotel, Casino, and world-famous Gary Player Golf Club. Adjoining this club to the north is the more upmarket Cascades Hotel and Entertainment Centre, from where you enter the grounds of the Palace of the Lost City -- for most visitors, the star attraction.

The Palace was built 12 years after Sun City opened, and the sheer magnitude of its opulence is proof of the amount of money taken from those frequenting Sun City's slot machines and tables. Separated from the rest of the resort by "The Bridge of Time" -- a large stone structure that shudders and rumbles at preappointed times from a mythical earthquake, and is lined with a "guard of honor" of carved elephants -- the Palace is entered through the massive Mighty Kong Gates. Looking down on the rivers and jungle vegetation, it's hard to imagine that 15 years ago this was nothing but a dusty, rocky plain. From the bridge, you can clearly see the "Valley of Waves," where landlocked Gautengers learn to "surf" on simulated waves, tan on man-made beaches, and hurtle down steep waterslides, reaching speeds of up to 35kmph (22 mph; note that the Valley is closed in winter). In the distance, overlooking a lake filled with live flamingos, is the majestic Palace, with what seems like an entire jungle of carved animals in attendance. Surrounding the Palace is what must be the most artfully landscaped garden in Africa, featuring five trails through 22 different sections of forest. The theme (that of a "lost city" that has been rediscovered and restored) is sometimes carried to ridiculous extremes, but the craftsmanship is world-class; the fantasy landscape is quite overwhelming. With Michael Jackson a majority shareholder, things can only get weirder.

Sales of 'The Beatles: Rock Band' aren't so fab

Even a little help from The Beatles couldn't completely rock game sales out of their doldrums.
The Beatles: Rock Band, released Sept. 9, sold about 595,000 copies last month, according to figures released Monday by market tracking firm The NPD Group. The game took two spots among September's top 10: The Xbox 360 version was No. 5, with 254,000 sold; the Wii game was No. 10 (208,600). An additional 132,400 sold for PS3.
Analysts expected the game to sell at least 1 million copies. Instead of a bona fide hit, "The Beatles performed at a respectable level," says analyst Jesse Divnich of Electronic Entertainment Design and Research. But with downloadable albums on the way, such as Abbey Road (out this week, $17), "I have no doubts we will see a resurgence in sales during the holiday months."

Publisher MTV Games noted that The Beatles: Rock Band outsold the competing Guitar Hero 5, and that some versions of the game carry a high price, more than double that of the average game. "We are selling a $250 box" with game, drum, bass guitar, microphone and stand, says MTV Games' Scott Guthrie, "a great gift-giving opportunity."
The top seller was Halo 3: ODST for Xbox 360, with more than 1.5 million copies. Total hardware and software sales rose 1%, the first increase in seven months.

Taylor Swift Sweeps 2009 CMA Awards & AMA’s

Taylor Swift continues to dominate, both on the charts and at awards shows. Following on the heels of her big win with “Song of the Year” at the BMI Country Awards (for the second year in a row), Taylor cleaned up the next night at the 2009 Country Music Awards ceremony in Nashville. Her astonishing list of awards includes “Entertainer of the Year,” “Female Vocalist of the Year,” “Album of the Year” (Fearless), and “Music Video of the Year” (“Love Story”). According to the November 21st issue of Billboard, Sony/ATV ranked second in the “Publisher’s Quarterly,” with a solid 17.1%. In addition, Sony/ATV publishes three of the top four songwriters of the quarter: Taylor Swift (#1), RedOne (#2), and Lady Gaga (#4).

(New York, NY) Feb. 24, 2010 – Sony/ATV Music Publishing has captured the No. 1 spot in Billboard's latest ranking of U.S. market share, controlling 20.5 percent of the 100 most popular songs played on the radio.

In the magazine's survey of the three months ending Dec. 31, 2009, compiled from Nielsen data, the company had three of the top 10 songwriters. It controlled 35 of the top 100 airplay songs, including No. 1 track "Whatcha Say" by Jason Derulo. The fourth quarter numbers increased more than three percentage points from the previous quarter and were more than four percentage points higher than the company's share in the fourth quarter of 2008.

"This is a spectacular achievement for our company, especially when you take into account that Sony/ATV is by far the smallest music publishing company of the four majors, and we were ranked fifth just three years ago," said Martin Bandier, Chairman and Chief Executive Officer of Sony/ATV. "Our entire U.S. creative team contributed to this terrific accomplishment, led by an unparalleled roster of talent, producers and writers."

Along with writer-performers such as Taylor Swift and Colbie Caillat, Sony/ATV songwriters and producers represented in the Top 100 included RedOne, Fusari, Orange Factory and JR Rotem.

The King of Pop was no "Fool on the Hill" when he invested in the music publishing business.

Sony/ATV Music Publishing, jointly owned by singer Michael Jackson and Sony Corporation of America, is one of the top publishing firms in the world. It is home to more than 750,000 copyrights by such artists as Willie Nelson, Roy Orbison, Linda Perry, Richie Sambora, Shakira, Diane Warren and Hank Williams, among others including more than 250 compositions recorded by The Beatles.

Its growing current roster of chart-topping artists includes Akon, Sara Bareilles, the Jonas Brothers, Kenny Chesney, Flo Rida, Lady GaGa, Rascal Flatts and Taylor Swift. The last time Sony/ATV was valued, it was said to be worth $30 Billion.

ATV Music was once the publishing arm of Lord Lew Grade's UK media empire, Associated Television (ATV). It had acquired Northern Songs (the Beatles' publishing business) in 1969.

Mr. Jackson acquired the Beatles catalog in 1985 when he bought ATV Music for about $47 million from Australian tycoon Robert Holmes à Court. He sold a 50% stake in the business to Sony for $150 million in 1995. Sony also contributed its existing publishing business to the new venture, forming Sony/ATV.

Other collections include the country catalogs of Acuff-Rose and Tree Publishing. The company acquired the Acuff-Rose catalog (featuring classics from Hank Williams and Roy Orbison) in 2002 for $157 million from Gaylord Entertainment.

Sony/ATV expanded its business in 2007 with the acquisition of publisher Famous Music from Viacom. The deal was worth some $370 million, and added 125,000 songs and sound cues to Sony/ATV's catalog. Famous songs include classics such as 'Footloose,' 'Moon River,' and 'Take My Breath Away'.

The growing company also scored a hit when it acquired the catalogue of award-winning songwriters Jerry Leiber and Mike Stoller in 2007 for some $45 million. The Leiber Stoller catalogue contains more than 40 Top 40 hits, including "Stand By Me", "Poison Ivy", and "Love Potion #9", as well as several songs made famous by Elvis Presley ("Hound Dog", "Jailhouse Rock").

CEO Martin Bandier, formerly an executive at EMI Group, is leading a focus on Sony/ATV's most valuable asset, its collection of Beatles songs. The company had historically resisted licensing Beatles recordings for commercial use, but in 2008 Bandier announced that he favored licensing Beatles songs for things that haven't been licensed in the past -- under certain circumstances.

Sony/ATV licenses its songs for use in movies, television, and advertising and collects royalties for its songwriters. It has offices in about 40 countries.

Megastar Michael Jackson has merged his music catalog with Sony Corp.'s music publishing division in a joint venture reportedly valued at $600 million.

Jackson's music catalog, ATV Music Publishing, includes some 250 Beatles songs as well as songs associated with Elvis Presley and Little Richard.

Sony/ATV Music Publishing will include all of the current and future music publishing interests of both parties.

The Sony catalog includes songs by such Sony recording artists as Mariah Carey, Sade, Bob Dylan and Neil Diamond.

Jackson's music catalog includes such Beatles tunes as Come Together, We Can Work It Out, Hey Jude and Yesterday.

Jackson's own songs were not included in the deal, Sony said.

Jackson said in a press statement: "The merging of ATV with Sony establishes our commitment to create one of the largest music publishing ventures in the world. We have been working on this for over a year and, now, with the two of us together, the sky is our only limit."

Jackson denied rumors that he made the merger deal with Sony because he is having financial problems during an interview with USA Today. "This acquistion had nothing to do with needing funds," Jackson said. "It's just a great move, a corporate, entrepreneurial thing to do. It's smart business. It's about growth. Everything in life to me is about growth."

Michael P. Schulhof, president and CEO, Sony Corporation of America, said: "Michael Jackson is not only the most successful entertainer in history; he is also an astute businessman. A&E, Extreme Music Team For New Production Unit

A&E Television Networks and Extreme Music, the music unit of Sony/ATV (Michael Jackson) Music Publishing, have created a new production library dubbed Scoreganics Production Music. The new venture will be focused on creating a library of genre-focused television underscores inspired by A&E programming. The catalog will be created, branded, marketed and distributed internationally by Extreme, according to a release. The initial release of albums, “Felony,” “Misdemeanor,” “Espionage,” “Curiosity,” “Courage,” “Hope and Joy,” are available now. Scoreganics can be accessed at extrememusic.com.

A&E Television Network channels and branded programming reach more than 250 million households in over 140 countries. The company is a joint venture of Disney-ABC Television Group, Hearst Corporation and NBC Universal.

A&E Television Networks (AETN) is collaborating with Sony/ATV (Michael Jackson)’s worldwide music production unit, Extreme Music, to form a new music production library.

The digital venture, titled Scoreganics Production Music, will be inspired by genre-focused underscores on AETN’s programs and will see Extreme creating, branding, marketing and distributing the companies’ new library internationally.

Extreme Music CEO Dolph Taylor says it is easy for a viewer to get distracted by the music in a television program adding, “There is a massive gap in the market for a visually sensitive soundtrack library specially constructed to be acoustically sympathetic. Scoreganics is now set to fill that gap.”

Albums Felony, Misdemeanor, Espionage, Curiosity, Courage, Hope and Joy, are already available from Scoreganics and more releases are planned later in the year.

AETN's Music Services Group Jennifer Insogna, the driving force behind the digital library initiative with Extreme, says the venture has been “meticulously created” using AETN's stable of premier composers.

She notes, “With its renowned catalogue, powerful search tools and intuitive user interface, Extreme Music is the perfect partner to bring Scoreganics to the production music community.”

The "one-of-a-kind" agreement with AETN is just the latest in Extreme's boundary-pushing approach to their business. Extreme's roster includes such icons as Quincy Jones, Snoop Dogg, Hans Zimmer.

Michael Jackson, Susan Boyle Boost Sony Results

Sony Corp's Music division - including Sony Music Entertainment, Sony Music Entertainment Japan (SMEJ) and the 50% stake in Sony/ATV - reported a 35% year-on-year increase in sales to 522.6 billion yen ($5.6 billion) in the fiscal year ended March 31, 2010.

The operating income increase was primarily due to improved results for Sony Music Entertainment and Sony Music Entertainment Japan. There were strong performing global releases by Michael Jackson, Alicia Keys and Susan Boyle.

In particular, Sony Music Entertainment benefited from hit releases, Michael Jackson catalog sales, growth in new music related businesses such as live, film and television and sponsorship revenue, as well as a year-on-year decrease in overhead and restructuring costs.

I
n its forecast Sony Corp said sales are expected to decrease and operating income is expected to "decrease slightly," as a result of the decline in physical sales and a lower contribution to its revenues from Michael Jackson catalog compared to the last financial year.
